IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO ACCESS THE WEBSITE, IF ANY, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.

10. Governing Law and Jurisdiction
These Terms and your use of the Website shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any legal action or proceeding relating to your access to, or use of, the Website shall be instituted in a court of competent jurisdiction in Burlington, Ontario, Canada. You agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
11. Dispute Resolution
11.1 Mandatory Mediation
Before commencing any legal proceeding, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through mediation conducted in Burlington, Ontario, in accordance with the mediation rules of the ADR Institute of Canada.
11.2 Court Proceedings
If mediation is unsuccessful, either party may commence court proceedings in the Ontario Superior Court of Justice in Burlington, Ontario.
12. Privacy
Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and other applicable privacy legislation.

15. Geographic Restrictions
ULLaw is based in Burlington, Ontario, Canada, and provides legal services primarily in Ontario. We make no claims that the Website or any of its content is accessible, appropriate, or legal outside of Ontario. Access to the Website may not be legal by certain persons or in certain jurisdictions. If you access the Website from outside Ontario, you do so on your own initiative and are responsible for compliance with local laws.
16. Professional Regulations
ULLaw and its lawyers are regulated by the Law Society of Ontario (LSO). We are bound by the Rules of Professional Conduct and other regulations applicable to lawyers practising in Ontario. Nothing on this Website is intended to violate these professional obligations.
Our lawyers maintain professional liability insurance as required by the Law Society of Ontario.
17. Language
These Terms have been prepared in English. If these Terms are translated into another language, the English version shall prevail in the event of any inconsistency or discrepancy.
Note: In accordance with Quebec's Charter of the French Language, if you are a consumer residing in Quebec, you have the right to receive this agreement in French. Please contact us if you require a French version.

19. Severability

No waiver by ULLaw of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ULLaw to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
21. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Website, constitute the entire agreement between you and ULLaw concerning your use of the Website and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ULLaw with respect to the Website.
22. GST/HST
If applicable, all fees quoted on this Website are subject to Goods and Services Tax (GST) or Harmonized Sales Tax (HST) as required by law in Ontario.
